Scope and acceptance

These terms (the "Terms") govern use of the website and the purchase of services provided by AutomationLab. They constitute general terms and conditions of contract under Spanish Law 7/1998 of 13 April and are permanently available on this page for you to view, download and print.

By browsing the site you accept the terms of use (section 4). By accepting a quote, signing a proposal or paying for a service, you accept these Terms in full. If you do not agree, do not use the site or hire our services.

Order of precedence. Where a signed contract, proposal or quote contains specific terms, those prevail over these Terms to the extent of any conflict. These Terms apply to everything else. The client's own terms do not apply unless AutomationLab expressly accepts them in writing.

Definitions

  • Client: the individual or legal entity that hires services from AutomationLab.
  • Consumer: a client who is an individual acting for purposes outside their trade, business, craft or profession, under Art. 3 of the Spanish Consumer Protection Act (Royal Legislative Decree 1/2007, "TRLGDCU").
  • Services: the services described in section 5 and specified in each proposal.
  • Proposal: the quote, work order or specific contract accepted by the client.
  • Deliverables: the specific outputs AutomationLab delivers to the client (videos, scripts, designs, automation workflows, reports, etc.).
  • Client materials: content, brands, data, account access and information provided by the client.

Use of the website

Access to the site is free, apart from your provider's connection costs. You agree to use the site lawfully, in accordance with these Terms, good faith and public order. In particular, you may not:

  • Introduce viruses or malicious code, or take actions that damage, overload or impair the site.
  • Attempt to access restricted areas, systems or other users' data without authorisation.
  • Extract content in bulk or by automated means (scraping), including to train artificial intelligence models, without our written permission. RENEWEARTH SL expressly reserves this use under Art. 67.3 of Royal Decree-law 24/2021 and Art. 4.3 of Directive (EU) 2019/790.
  • Submit false information, impersonate others or use the site to send unsolicited marketing.
  • Reproduce, distribute or adapt site content without authorisation, except as permitted by law.

We may suspend access for anyone who breaches these rules, without prejudice to any legal action.

Services

AutomationLab is a bilingual boutique marketing agency. It does not sell fixed packages or standard price lists: every project is personalised, and its scope, team, timeline and price are set out in a proposal prepared for each client. The services a project may include are, among others:

  • Audiovisual content production, including short and long-form videos, scripts, voice-overs, music and animation, with or without artificial intelligence tools.
  • Creation, management and growth of channels and profiles on YouTube, TikTok, Instagram, Facebook and other platforms.
  • Content strategy, video SEO, and optimisation of titles, thumbnails and metadata.
  • Design and implementation of automations, workflows and AI-based assistants.
  • Digital marketing, advertising campaign management and analytics.
  • Consulting and training related to the above.

Unless otherwise agreed, our obligation is one of means: we undertake to provide the services with the diligence and professionalism expected in the industry, not to achieve a specific result (see section 12).

Ordering process

Under Article 27 LSSI-CE, we inform you of the following:

  • Steps: (1) you send your request via form, email or video call; (2) we send a proposal with scope, price, timelines and specific terms; (3) you accept it in writing, by signature (including electronic), by email or by payment; (4) we confirm the order.
  • Correcting errors: before accepting you can review the proposal and ask us to correct anything.
  • Filing: we keep an electronic copy of the accepted proposal and these Terms, which you can request.
  • Languages: you may contract in Spanish or English.
  • Confirmation: we will confirm acceptance by email within 24 hours of receipt (Art. 28 LSSI-CE).

Proposals are valid for 30 calendar days from issue unless stated otherwise. To contract you must be of legal age and have legal capacity, and if you contract on behalf of a company you confirm you have authority to bind it.

Prices, invoicing and payment

  • Prices are in euros unless the proposal says otherwise and exclude VAT and other applicable taxes, which will be added on the invoice. Offers aimed at consumers will always show the final price including taxes (Art. 60 TRLGDCU).
  • The invoicing schedule is set in each proposal. If the proposal says nothing else, projects with defined deliverables are invoiced 50% on acceptance and 50% on delivery, and recurring services (monthly fees or retainers) monthly in advance.
  • Invoices must be paid within 30 days of issue by bank transfer or another method stated on the invoice, subject to the maximum terms of Law 3/2004.
  • Third-party costs: advertising budgets (media spend), music or stock licences, tool subscriptions, travel and other third-party costs are not included unless expressly stated, and will be invoiced separately or paid directly by the client.
  • Late payment (business clients): late-payment interest and debt-recovery compensation under Articles 7 and 8 of Spanish Law 3/2004 on combating late payment accrue automatically. We may also suspend services after 7 calendar days' notice.
  • Late payment (consumers): the statutory legal interest rate applies.
  • Prices for recurring services may be revised with 30 days' notice. If you do not accept the revision, you may cancel before it takes effect.

Client obligations

The client agrees to:

  • Provide the information, materials, approvals and access needed on time. Client delays extend delivery timelines proportionally.
  • Ensure it holds all rights, licences and consents for the materials it provides (including image rights, music, trademarks and personal data), and that their use does not infringe third-party rights or the law. The client will hold AutomationLab harmless against any claim arising from its materials.
  • Comply with the rules and policies of the platforms where content is published and with advertising law, including disclosure of sponsored content.
  • Safeguard its credentials. When granting access to its accounts, it should preferably use collaborator roles or delegated permissions, and it may revoke access at any time. When the service ends, the client must change any passwords it shared.
  • Review and approve deliverables before publishing them, especially claims about products, health, finance or comparisons, for whose accuracy it is responsible.
  • Pay the price on the agreed terms.

Deliverables, revisions and acceptance

  • Each proposal states the number of revision rounds included. If it does not, two rounds per deliverable are included. Additional revisions or substantial scope changes will be quoted separately.
  • The client has 5 business days from delivery to approve it or send specific written feedback. If there is no response by then, or if the client publishes or uses the deliverable, it is deemed accepted.
  • Delivery dates are estimates unless the proposal makes them essential.
  • Editable or project files (source files, edit projects, prompts, internal workflows) are not included in the delivery unless expressly agreed.

Intellectual and industrial property

Website and AutomationLab know-how

The site's content (text, design, logos, code, trademarks) and AutomationLab's own methodologies, templates, prompts, tools, generic automations and technical expertise ("Know-how") belong to RENEWEARTH SL or its licensors and are protected by Royal Legislative Decree 1/1996 (Spanish Intellectual Property Act) and Law 17/2001 on Trademarks. Nothing in these Terms assigns them, except as set out below.

Client materials

Client materials remain the client's property. The client grants us a non-exclusive, free licence, limited to the duration of the service, to use them solely to provide the services.

Deliverables

Once the price has been paid in full, AutomationLab assigns to the client, exclusively, the exploitation rights in the final deliverables created specifically for it (reproduction, distribution, public communication and transformation) for all forms of exploitation and media, worldwide, for the maximum legal term of protection, unless the proposal states a different scope (Art. 43 Spanish Intellectual Property Act). Until full payment, the client holds only a revocable licence to use them.

The assignment does not include the Know-how or third-party elements (music, stock images and footage, fonts, software), which are governed by their own licences and which the client must respect. The moral rights of individual authors cannot be waived under Spanish law.

Portfolio

Unless the client objects in writing or a confidentiality agreement applies, AutomationLab may name the client and show published deliverables in its portfolio and marketing materials.

AI-generated content

  • Some deliverables may be created or edited using third-party AI tools. We will say so when the client asks or when it matters for how the deliverable is used.
  • AI-generated outputs may not be unique and may not qualify for copyright protection to the extent there is no human creative input. We assign whatever rights exist under section 10, but do not guarantee the exclusivity or protectability of elements generated solely by AI.
  • We will not generate content imitating the identifiable likeness, voice or style of real people, or using third parties' protected trademarks or characters, without proven authorisation.
  • Where required, AI-generated or manipulated image, audio or video content that could mislead (deepfakes) will be labelled under Art. 50 of Regulation (EU) 2024/1689 (AI Act) and each platform's disclosure policies. The client will not remove such labels.
  • The client is responsible for checking the accuracy of generated content before publishing it.

Third-party platforms and results

Our services depend on third-party platforms (YouTube, Google, Meta, TikTok, AI and automation providers, etc.) that we do not control. Accordingly:

  • We do not guarantee any particular number of views, followers, subscribers, revenue, monetisation, rankings, conversions or return on investment. Any figures or estimates we share are indicative.
  • We are not liable for algorithm, policy or pricing changes, outages, automated copyright claims, demonetisation, restrictions or account closures decided by platforms, unless caused by our breach.
  • Use of the platforms is governed by their own terms, which the client accepts directly with them.
  • Advertising budgets are spent according to the agreed settings. Amounts consumed by platforms are not refundable by AutomationLab.

Confidentiality

Each party will keep confidential the other's non-public information obtained through the service (strategies, data, credentials, pricing, metrics) and use it only to perform the contract. This obligation continues for three years after the relationship ends, or indefinitely for trade secrets protected by Spanish Law 1/2019. Information is not confidential if it becomes public through no fault of the receiving party, was already lawfully known to it, or must be disclosed by law or order of an authority.

Data protection

We process users' and clients' personal data under our Privacy policy.

Where, to provide the service, we process personal data for which the client is controller (for example, its contact, customer or follower databases), we act as processor and will sign with the client the agreement required by Article 28 GDPR and Article 33 LOPDGDD, which prevails on that subject.

Warranties and limitation of liability

AutomationLab warrants that it will provide the services with due professional diligence and that, to the best of its knowledge, deliverables created by its team do not infringe third-party rights, excluding client materials and elements generated or supplied by third parties.

Business and professional clients. To the fullest extent permitted by law:

  • AutomationLab's total liability for any cause relating to a contract is limited to the amount actually paid by the client for the affected service in the 12 months before the event giving rise to the claim.
  • AutomationLab is not liable for loss of profits, revenue, data, audience or reputation, or for indirect damages.

These limits do not apply in cases of wilful misconduct or gross negligence (Art. 1102 Spanish Civil Code), personal injury, or other cases where the law does not allow liability to be limited.

Consumers. Nothing in these Terms limits your rights under the TRLGDCU or our statutory liability towards you.

Consumers: right of withdrawal and guarantees

This section applies only if you are a consumer.

Right of withdrawal

You have the right to withdraw from a distance contract within 14 calendar days of its conclusion without giving any reason (Arts. 102–108 TRLGDCU). To exercise it, send us a clear statement to legal@automationlab.agency or our registered address. You may use the model form below, but it is not required. It is enough to send your communication before the period expires.

We will refund all payments received without delay and no later than 14 calendar days after you inform us of your decision, using the same payment method, unless you agree otherwise at no cost.

If you asked us to start the service during the withdrawal period, you must pay an amount proportionate to what was provided up to your notice (Art. 108.3 TRLGDCU).

Exceptions (Art. 103 TRLGDCU). You have no right of withdrawal:

  • Once the service has been fully performed, if performance began with your express consent and your acknowledgement that you would lose the right once it was completed.
  • For digital content not supplied on a tangible medium where performance began with your express consent and acknowledgement that you lose the right, and we have sent you confirmation.
  • For goods or services made to your specifications or clearly personalised.

Model withdrawal form (complete and return this form only if you wish to withdraw from the contract)

To RENEWEARTH SL (AutomationLab), Paseo de Reding 43, 1º Izq, 29016 Málaga, Spain — legal@automationlab.agency:

I/We (*) hereby give notice that I/We (*) withdraw from my/our (*) contract for the provision of the following service (*): ____________
Ordered on / received on (*): ____________
Name of consumer(s): ____________
Address of consumer(s): ____________
Signature of consumer(s) (only if this form is notified on paper): ____________
Date: ____________

(*) Delete as appropriate.

Conformity of digital services and content

We are liable for any lack of conformity of digital content and services under Articles 114 et seq. TRLGDCU. If a digital deliverable is not in conformity, you are entitled to have it brought into conformity, to a price reduction, or to terminate the contract, as provided by law.

Term, cancellation and termination

  • Fixed projects: last until the deliverables are delivered and accepted.
  • Recurring services: renew automatically each month unless a minimum term is stated. Either party may cancel with 30 days' written notice, subject to any agreed minimum term. Consumers may cancel by the same means used to sign up (Art. 62.3 TRLGDCU).
  • Cancellation by a business client of a project in progress: the client must pay for work done to date, third-party costs already committed and, where the proposal provides, the cancellation fee stated in it. Deposits will be applied to these amounts.
  • Termination for breach: either party may terminate if the other commits a serious breach and fails to remedy it within 15 calendar days of written notice (Art. 1124 Spanish Civil Code).
  • Effects: on termination, the client will pay outstanding amounts, we will withdraw from its accounts and, within 30 days, deliver paid deliverables and return or delete its materials, unless we are legally required to keep them. Sections 10, 13, 14, 15 and 25 survive.

Force majeure

Neither party is liable for failure caused by unforeseeable or unavoidable events beyond its control (Art. 1105 Spanish Civil Code), such as disasters, pandemics, conflicts, widespread power or internet outages, prolonged platform outages or acts of authorities. If the situation lasts more than 60 days, either party may terminate without penalty, with work done paid for.

Subcontracting and assignment

AutomationLab may use collaborators and subcontractors, in Spain or abroad, remaining responsible to the client and requiring equivalent confidentiality and data protection obligations from them. The client may not assign its contractual position without our written consent. We may assign the contract to a group company or successor, informing the client in advance.

Non-solicitation

Business clients only: during the relationship and for 12 months afterwards, the client will not directly or indirectly hire AutomationLab employees or collaborators who worked on its projects, unless agreed in writing. This does not prevent hiring people who respond to public job adverts.

Links and site availability

The site may contain links to third-party sites we do not control. We are not responsible for their content, but will remove any link as soon as we have actual knowledge that it leads to unlawful content (Art. 17 LSSI-CE). We aim to keep the site available and secure but do not guarantee uninterrupted or error-free operation, and we may change or remove content at any time. Site content is informational and is not a binding offer until a proposal is formalised.

Changes to these terms

We may amend these Terms. The version applicable to each order is the one in force on the date the proposal is accepted. For recurring services, we will give 30 days' notice of material changes, and you may cancel before they take effect if you disagree.

Language, notices and general clauses

  • Language: these Terms are offered in Spanish and English. In the event of any discrepancy, the Spanish version prevails.
  • Notices: communications will be made in writing to the email addresses in the proposal or, failing that, to legal@automationlab.agency.
  • Severability: if any clause is held void, the rest remains valid and the affected clause will be replaced by a lawful one with the closest possible effect.
  • No waiver: failure to exercise a right is not a waiver of it.
  • Entire agreement: these Terms, together with the accepted proposal and any data processing agreement, form the entire agreement between the parties on their subject matter.
  • Independence: the parties are independent. Nothing creates an employment, agency or partnership relationship between them.

Complaints and dispute resolution

You can send any complaint to legal@automationlab.agency or our registered address. We will reply as soon as possible and in any case within one month (Art. 21.3 TRLGDCU).

As a business established in Andalusia, we keep official Junta de Andalucía complaint forms (hojas de quejas y reclamaciones) available to consumers, which you can request through the same channels (Decree 472/2019). Consumers may also contact the consumer affairs services of their region and, if both parties agree, the Spanish Consumer Arbitration System. AutomationLab is not currently a member of any alternative dispute resolution body, but may consider participating on a case-by-case basis.

Governing law and jurisdiction

These Terms are governed by Spanish law.

Business and professional clients: the parties submit to the Courts of the city of Málaga, waiving any other jurisdiction.

Consumers: the courts of your place of residence have jurisdiction (Art. 90.2 TRLGDCU and Art. 52.2 Spanish Civil Procedure Act). If you live in another EU Member State, you keep the protection of the mandatory rules of your country of residence (Regulation (EC) 593/2008, Rome I).
